A working scorecard for the last review pass — the one your COO or compliance lead runs before a contract gets signed.
By the time a fund is choosing between fundraising portal vendors, everyone has already seen the demos. What separates a good decision from a costly one is what happens in the next meeting — the one where compliance, IR, and finance compare notes on what the sales deck didn’t cover. This is that meeting, condensed into twelve questions.
01 Start With Compliance, Not Features
Every fundraising platform will tell you it automates investor onboarding. The honest question is how much of that automation actually removes human review versus just moving the paperwork online.
- Does the platform verify accredited investor status directly (income/net worth documentation, third-party verification letters), or does it only collect a self-certification checkbox?
- Are sanctions and PEP (politically exposed person) screening built in, or is that a manual step your team still owns?
- Who is liable if a verification later turns out to be wrong — the platform, or your fund?
02 Data Room and Document Security
A fundraising portal holds subscription agreements, K-1s, PPMs, and LPA drafts — some of the most sensitive documents your fund produces. Security questions belong earlier in the process than most GPs put them.
| Ask about | Why it matters |
|---|---|
| Role-based permissions | An LP should never be able to see another LP’s documents or commitment size, even accidentally. |
| Encryption in transit and at rest | Table stakes for anything holding PII, tax IDs, or bank details. |
| Independent security certification (e.g., SOC 2 Type II) | Confirms controls were tested by a third party, not just self-reported in a sales deck. |
| Time-stamped access and download logs | Needed if an LP or regulator ever asks who saw a document and when. |
03 E-Signature and Closing Mechanics
Getting a subscription agreement signed is only half the job. The other half is proving, later, that it was signed properly.
- Can the platform route multi-party signatures (LP, GP, counsel) in the correct sequence automatically?
- Does every signed document generate an audit trail — signer identity method, IP address, timestamp — attached permanently to that document?
- What happens when an LP needs to sign on behalf of an entity, trust, or fund-of-funds structure? Not every portal handles multi-signer entity structures cleanly.
04 Pipeline Visibility and Reporting
A portal that handles documents well but leaves your team guessing where each LP actually stands in the process has only solved half the problem.
“The question isn’t whether we can share a data room. It’s whether I can see, without asking anyone, which of my forty LPs are stuck on KYC and which are stuck on a wire.”Fund COO, mid-market private equity firm
Ask for a live view of the pipeline dashboard during the demo, not a screenshot. Check whether stage definitions (invited, in diligence, docs sent, signed, funded) are configurable to match how your fund actually runs a raise.
05 Integration and Onboarding Reality
The last set of questions has nothing to do with features and everything to do with what happens after the contract is signed.
- Does the platform connect to your existing fund accounting or investor portal system, or does data need to be re-entered on the other side of a close?
- What is the realistic timeline from signed contract to your first LP invitation going out?
- Who owns training your IR team — a generic help center, or a dedicated implementation contact?
The 12 Questions, Scored
- Does verification go beyond a self-certification checkbox?
- Is sanctions/PEP screening built in, not bolted on?
- Who bears liability for a bad verification?
- Are permissions role-based down to the individual LP?
- Is data encrypted in transit and at rest?
- Is there independent security certification, not just a claim?
- Are access and download logs time-stamped and retained?
- Can multi-party signature sequencing be automated?
- Does every signature generate a permanent audit trail?
- Can the platform handle entity/trust signer structures?
- Is pipeline status visible live, without asking your team?
- What is the real timeline from signed contract to first LP invite?
None of these questions are about which platform has the nicest interface. They’re about what happens the first time something goes wrong — a bounced KYC check, a disputed signature, an LP who says they never received a document. A fundraising portal earns its price on that day, not on demo day.
